Thank You and Rakon's Next Chapter with Bourns

To Rakon's shareholders and wider stakeholders,
On behalf of Rakon, I would like to sincerely thank you for your support, trust and engagement with the company over many years. Through the milestones, market cycles and significant evolution that Rakon has navigated as a listed company, the support and input of our investors and wider stakeholders has been an important part of our journey.
As we have advised, Bourns, Inc. has acquired more than 97 percent of Rakon Limited shares and share rights through its takeover offer and will own 100% by early June after the completion of the compulsory acquisition process. Rakon will become a part of Bourns as its Timing Division. This marks the end of Rakon's listed company chapter, but not the end of Rakon's story.
Rakon was founded in Auckland in 1967 and has grown from a New Zealand innovator into a global technology leader in frequency control and timing solutions. Our products support systems where precision, reliability and performance matter, including communications, positioning, space, defence and advanced technology applications such as AI.
Our strong foundation is now getting stronger. Rakon continues to have a clear path ahead, with multiple growth drivers across AI hardware, Aerospace and Defence, Telecom infrastructure and precision positioning. The work we completed over recent years has strengthened our technology base, global operations and market focus, and has positioned the business to convert its potential into sustained performance.
Joining Bourns gives Rakon access to a broader global platform, operational depth, long term support and the ability to invest through market cycles. It also gives us the opportunity to bring Rakon's long term vision to life with greater scale, discipline and confidence, while continuing to operate under the Rakon name.
For our customers, suppliers and partners, the message is continuity. Our commitments, obligations, relationships and focus on quality, service and delivery remain unchanged. For our employees, the message is opportunity. The same Rakon capability, culture and ambition now sit within a larger and stronger global group.
For our shareholders, I want to acknowledge your capital, patience and belief that helped build the company we are today. For the wider Rakon ecosystem and the communities in which we operate, we remain committed to supporting high value technology capability, skilled employment, innovation and responsible growth in New Zealand and across our global locations.
The next phase gives us the chance to fulfil the long-term vision behind Rakon’s founding: building world class timing and frequency technology from New Zealand for the global stage. As part of Bourns, we will move forward with focus, pace and accountability, and we will do the work required to turn that vision into sustained value.

Meet our Board of Directors
Brent Robinson
Chair and Non-independent Director
Appointed to the Board on 5 November 1991 and last elected at the 2022 annual meeting.
Brent's 43 years at Rakon include almost 36 years as Managing Director /CEO, from 1986 until March 2022, during which time Rakon established global operations and markets. In his capacity as Chief Technology Officer, Brent drives the business' technology and innovation. Under Brent’s leadership, Rakon grew into a global business and a recognised leader in the frequency control product industry.
Brent is an Honorary Fellow of the Institution of Professional Engineers New Zealand. He was awarded the New Zealand Hi-Tech Trust Flying Kiwi Award in 2011.
Christopher Swasbrook
Independent Director
Appointed to the Board on 28 October 2025. Chris will put himself forward for election at the 2026 Annual Meeting.
Chris is the Founder and Managing Director of Elevation Capital and Co-Founder and Director of NZX-listed New Zealand Rural Land Company. He is also Chairman of Bethunes Investments and McCashin's Brewery. He is currently a Board Member of the Financial Markets Authority (FMA), having previously served as a Member of the NZX Listing Subcommittee (2008-2023) and a Member of the New Zealand Markets Disciplinary Tribunal (2013-2023).
Chris holds a BCom (Econ) from the University of Auckland and has also undertaken Executive Education courses at Columbia University, New York University, London School of Economics and the Harvard Kennedy School.
Greg Barclay
Independent Director
Appointed to the Board on 13 October 2025. Greg will put himself forward for election at the 2026 Annual Meeting.
Greg is a founding partner of Claymore Partners, a specialist legal and commercial advisory firm, and a governance professional with extensive experience across the commercial, legal and sports sectors.
He currently serves as Chair for NZX and ASX listed Smartpay Holdings Limited, and is a director of several private companies including international trading company Pacific Forest Products and leading New Zealand environmental consultancy Boffa Miskell. Greg is also a current director of New Zealand Rugby and a past Chair of both New Zealand Cricket and the Dubai based International Cricket Council.
He is a barrister and solicitor of the High Court of New Zealand and a Chartered Member of the New Zealand Institute of Directors. Greg holds a LLB from the University of Canterbury and a post-graduate DipBus from the University of Auckland.
Dr Peter Baines
Independent Director
Appointed to the Board on 22 August 2025. Peter will put himself forward for election at the 2026 Annual Meeting.
Peter is a highly experienced technology executive and director with over 25 years of leadership experience spanning telecommunications, manufacturing, R&D and commercialisation. He has worked in both New Zealand and internationally across Europe, Asia, and North America – leading multiple successful business turnarounds, exits, and capital raises with oversubscribed investment rounds.
He previously worked in leadership roles for Tait Communications, Trimble and Datacom, and his current role involves commercialising cutting-edge quantum technologies and physics-based innovations at University of Queensland.
He holds double first-class honours degrees in mathematics and physics, and a PhD in physics from the University of Otago and he is a graduate of the Australian Institute of Company Directors.
Jung Meng (JM) Tseng
Non-independent Director
Appointed to the Board on 13 July 2023 and elected at the 2023 annual meeting.
Jung Meng (JM) is the president of Siward Crystal Technology Co. Limited (Siward), a substantial shareholder (12.19%) in Rakon. An experienced business leader with over 45 years in the frequency control product industry, JM has helped grow Siward to become a global leader with revenue of US$100+ million.
JM is a director of Securitag Assembly Group Limited, Apex Optech Co., Limited and Siward subsidiaries. He holds an EMBA from Feng Chia University in Taiwan.
Our key markets continue to provide excellent opportunities for growth
Telecommunications
Cellular network infrastructure expenditure will continue to be strong on the back of increased 5G network roll-outs worldwide. In parallel, Private LTE and 5G networks for enterprise and industrial automation and the synchronisation of cloud computing will provide new market opportunities over an extended period.
Positioning
From rescue beacons to off-road autonomous vehicles, Rakon is excelling in areas that require high accuracy, and where safety and life criticality is typically associated. Rakon’s advanced GNSS products are a perfect fit where extremely accurate and reliable positioning technology is required in rugged environments.
